Overview & Acceptance of Terms
This website and Partners portal (“Platform”) is owned and operated by KTS Ventures (“Golfoy”, “we”, “us”, “our”).
By accessing, registering on, or placing an order through the Platform, you (“Buyer”, “Customer”, “User”) acknowledge that you have read, understood, and agreed to be legally bound by these Terms & Conditions, related policies, and applicable Indian laws.
B2B Eligibility & Authority
The Platform is intended solely for business/commercial use.
By using the Platform, you represent and warrant that:
- You are a legally registered business entity under Indian law.
- You are authorized to place orders and bind the business.
- Goods purchased are for resale or professional business use.
KTS Ventures reserves the right to request supporting business documents (GST certificate, PAN, etc.).
Account Registration & Compliance
Registration may require submission of: Business name, GSTIN, Billing & shipping address, Authorized contact details.
You are responsible for:
- Accuracy of submitted information
- All activities conducted through your account
Any misrepresentation may result in immediate suspension or termination.
Purchase Orders (PO) & Order Acceptance
Orders placed on the Platform or via email/PO are subject to acceptance by KTS Ventures.
A Purchase Order (PO), where applicable, shall be deemed an offer by the Buyer, be accepted only upon order confirmation or invoice issuance by KTS Ventures
Any conflicting terms in a Buyer’s PO shall be null and void, unless expressly agreed in writing by KTS Ventures.
KTS Ventures reserves the right to reject or partially fulfill POs.
Pricing, GST & Taxation
All prices displayed are exclusive of GST, unless expressly stated.
GST shall be charged as applicable under prevailing GST laws.
Buyer must ensure:
- Correct GSTIN is provided before invoicing
- GST credit eligibility is their responsibility
KTS Ventures shall not be liable for:
- Denial of Input Tax Credit (ITC)
- Incorrect GST filings due to Buyer-provided data
Any additional government levies, cess, or duties shall be borne by the Buyer.
Credit Terms & Payments
Orders are generally prepaid, unless credit terms are expressly approved in writing.
Approved credit customers may be granted:
- Fixed credit limits
- Defined payment cycles (e.g., 15/30/45 days)
Credit terms are subject to:
- Periodic review
- Revocation without notice
Late payments may attract:
- Interest at 18% per annum or maximum permitted under law
- Suspension of future supplies
KTS Ventures reserves the right to adjust outstanding dues against any credits or refunds.
Shipping, Delivery & Risk Transfer
Dispatch typically occurs within 72 hours of order confirmation.
Delivery timelines are indicative and not guaranteed.
Risk and title to goods pass to the Buyer upon delivery.
Open deliveries are strictly prohibited.
Delays caused by logistics partners or force majeure events shall not constitute breach.
Returns, Replacements & Cancellations
Returns/replacements are allowed only if:
- Product is eligible as per product page
- Request is raised within 96 hours of delivery
Custom, special, made-to-order, or discounted products are non-returnable.
Refunds, where applicable, shall be issued as Store credit, or Adjustment against future invoices
Cancellation is permitted only before dispatch.
Damaged or Defective Goods
Damage must be noted on courier POD.
Claims must be raised within 24 hours with evidence.
Replacement is issued only after receipt and inspection of returned goods.
Failure to comply voids eligibility for replacement.
Warranty & Manufacturer Liability
Products may carry manufacturer warranties where specified.
KTS Ventures acts solely as a distributor and does not provide independent warranties.
Warranty claims are governed by manufacturer terms.
KTS Ventures does not provide logistics support for warranty claims.
Intellectual Property
All trademarks, logos, content, pricing data, and software are proprietary to KTS Ventures. Unauthorized copying, resale of data, or misuse is prohibited.
PROHIBITED USES
Users shall not Scrape data or pricing, Reverse engineer platform functionality, engage in resale violations, Violate competition, IP, or tax laws. Violation may result in termination and legal action.
Limitation of Liability
To the fullest extent permitted by law:
- KTS Ventures shall not be liable for indirect or consequential damages.
- Total liability shall not exceed the invoice value of the disputed order.
INDEMNIFICATION
The Buyer agrees to indemnify Golfoy against claims arising from misuse of products, Breach of these Terms, GST or regulatory non-compliance by Buyer.
TERMINATION & SUSPENSION
KTS Ventures may suspend or terminate access without notice for breach or non-payment. Outstanding dues shall remain payable post-termination.
FORCE MAJEURE
Neither party shall be liable for delays or failures due to events beyond reasonable control, including natural calamities, strikes, government actions, or logistics disruptions.
MODIFICATIONS
KTS Ventures reserves the right to modify these Terms at any time. Continued usage constitutes acceptance.
